As a result of his dual practice, Chris has a great deal of experience and familiarity with the law of Kentucky limited liability companies and Kentucky corporations from both the dispute and transactional perspectives.

Representative Cases

  • Representing former directors and officers of a coal company in complex bankruptcy litigation involving allegations of breaches of fiduciary duties and fraudulent conveyances.
  • Prepared and reviewed real estate documents involving hundreds of leases and deeds in connection with a $200,000,000 note offering on behalf of a coal company.
  • Obtained a ruling from a federal district judge confirming that Kentucky courts do not recognize a cause of action for aiding and abetting or conspiracy to commit fraudulent transfers.
  • Prepared organizational documents on behalf of a variety of business entities, including companies in the strength and fitness, mattress, coal, automotive, restaurant, and beverage industries.
